Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Forge application ("Forge," "the App," or "the Service"), operated by Greenlight Software LLC ("Greenlight," "we," "us," or "our"), available at startforge.app and through the Shopify App Store.

By installing, accessing, or using Forge, you agree to be bound by these Terms. If you do not agree, do not install or use the App.

1. Overview of the Service

Forge is a Shopify-embedded application that provides jewelry manufacturing and inventory management tools, including but not limited to: materials tracking, bills of materials (BOMs), build order management, repair order tracking, custom order management, purchase order management, vendor management, serialized inventory with laboratory certificate tracking, and live precious metals pricing. Forge integrates with your Shopify store to synchronize product and order data.

2. Eligibility

To use Forge, you must:

  • Be at least 18 years of age.
  • Operate an active Shopify store with a valid Shopify subscription.
  • Have the legal authority to enter into these Terms on behalf of yourself or your business.
  • Provide accurate and complete information during installation and onboarding.

3. Account and Access

3.1 Shopify Authentication

Forge uses Shopify OAuth for authentication. You do not create a separate username or password for Forge. Your access is tied to your Shopify store and is governed by Shopify's own authentication and security practices.

3.2 Account Responsibility

You are responsible for all activity that occurs through your Shopify store's connection to Forge, including actions taken by any staff members with access to your Shopify admin. You agree to notify us promptly if you believe your account has been compromised.

3.3 Access Tiers

Forge is offered in multiple subscription tiers, each providing different levels of functionality. The features available to you depend on your current subscription tier. We reserve the right to modify the features included in each tier, and will provide reasonable notice before removing features from a tier you are subscribed to.

4. Subscriptions and Billing

4.1 Pricing

Forge is offered as a paid subscription service with multiple tiers. Current pricing is displayed at the time of installation and on our website at startforge.app. Prices are listed in U.S. dollars and are billed monthly unless otherwise stated.

4.2 Billing Through Shopify

All subscription charges are processed through the Shopify Billing API and appear on your regular Shopify invoice. We do not directly collect, process, or store your credit card or payment information. Your payment relationship for Forge charges is with Shopify, subject to Shopify's billing terms.

4.3 Free Trial

We may offer a free trial period at our discretion. At the end of the trial, your subscription will begin and you will be billed unless you uninstall the App before the trial expires. We will clearly indicate trial duration and billing start date during installation.

4.4 Tier Changes

You may upgrade or downgrade your subscription tier at any time through the App. Upgrades take effect immediately. Downgrades take effect at the start of your next billing cycle. When downgrading, features exclusive to your current tier will remain accessible until the end of your current billing period.

4.5 Cancellation

You may cancel your subscription at any time by uninstalling Forge from your Shopify admin. Upon cancellation, your access to the App will end at the conclusion of your current billing period. No refunds are provided for partial billing periods.

4.6 Price Changes

We may change our subscription prices with at least 30 days' advance notice. Price changes will take effect at the start of your next billing cycle following the notice period. If you do not agree with a price change, you may cancel your subscription before it takes effect.

5. Your Data

5.1 Ownership

You retain full ownership of all data you enter into Forge, including but not limited to: inventory records, materials data, BOMs, build orders, repair orders, custom orders, purchase orders, vendor information, serialized inventory records, and customer information. We claim no ownership of your data.

5.2 License to Us

By using Forge, you grant us a limited, non-exclusive license to access, store, process, and display your data solely for the purpose of providing and improving the Service. This license terminates when you cancel your subscription and your data is deleted.

5.3 Data Accuracy

You are solely responsible for the accuracy and completeness of the data you enter into Forge. We do not independently verify your inventory counts, material costs, order details, or any other business data. Forge performs calculations (e.g., BOM cost rollups, material costs, margin calculations) based on the data you provide, and we are not responsible for inaccuracies resulting from incorrect input data.

5.4 Data Export

You may export your data from Forge at any time using the export features available in the App. We will also provide a data export upon written request if you cancel your subscription, for up to 30 days after cancellation.

5.5 Data Deletion

Upon cancellation (uninstallation of the App), we will delete your data within 30 days unless required by law to retain it. You may also request data deletion at any time by contacting us at the address below.

5.6 Data from Shopify

Forge accesses data from your Shopify store (products, orders, fulfillment data) through the Shopify API. This data synchronization is authorized by you during installation. You can revoke Forge's access to your Shopify data at any time by uninstalling the App from your Shopify admin.

6. Acceptable Use

You agree not to use Forge to:

  • Violate any applicable law or regulation.
  • Infringe on the intellectual property rights of any third party.
  • Upload or transmit any malicious code, viruses, or harmful content.
  • Attempt to gain unauthorized access to the App, its servers, or any related systems.
  • Reverse engineer, decompile, or disassemble any part of the App.
  • Use automated tools (bots, scrapers) to access or interact with the App outside of its intended interface.
  • Resell, sublicense, or redistribute access to the App without our prior written consent.
  • Use the App for any purpose other than managing your own business operations.

We reserve the right to suspend or terminate your access if we determine, in our sole discretion, that you have violated these Terms.

7. Third-Party Integrations

7.1 Shopify

Forge is a Shopify embedded application and relies on the Shopify platform. Your use of Shopify is governed by Shopify's own terms of service. We are not responsible for Shopify's availability, performance, or changes to their API that may affect Forge's functionality.

7.2 Metals Pricing

Forge may display live precious metals pricing sourced from third-party providers. This pricing data is provided for informational purposes only and should not be relied upon as financial advice or as the sole basis for purchasing decisions. We do not guarantee the accuracy, timeliness, or completeness of metals pricing data. Pricing data may be delayed or unavailable due to third-party provider limitations.

7.3 Supplier Integrations

If you connect a supplier account (e.g., Stuller, Rio Grande) to Forge, you do so at your own discretion and subject to that supplier's own terms and conditions. We facilitate the connection using credentials you provide but are not a party to your relationship with any supplier. We are not responsible for the accuracy of supplier pricing, product availability, or order fulfillment.

7.4 Third-Party Availability

We do not guarantee the continued availability of any third-party integration. If a third-party provider changes or discontinues their service, we will make reasonable efforts to find an alternative or update the App accordingly, but we are not liable for disruptions caused by third-party services.

8. Intellectual Property

8.1 Our Intellectual Property

Forge, including its code, design, features, documentation, and branding, is the intellectual property of Greenlight Software LLC and is protected by copyright, trademark, and other applicable laws. These Terms do not grant you any ownership rights in the App.

8.2 Your License to Use Forge

Subject to your compliance with these Terms and payment of applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Forge for your internal business purposes.

8.3 Feedback

If you provide us with feedback, suggestions, or ideas about the App, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into the App without obligation to you.

9. Disclaimers

9.1 "As Is" Service

FORGE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Guarantee of Accuracy

We do not guarantee that Forge's calculations, inventory tracking, or data synchronization will be error-free. You are responsible for independently verifying critical business data, including inventory counts, material costs, and financial calculations. Forge is a management tool, not a replacement for professional accounting, financial, or inventory auditing practices.

9.3 No Financial or Legal Advice

Nothing in Forge constitutes financial, legal, tax, or professional advice. Metals pricing, cost calculations, and margin analyses are provided as tools for your own decision-making and should not be relied upon as professional financial guidance.

9.4 Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The App may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GREENLIGHT SOFTWARE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR INVENTORY DISCREPANCIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE FORGE, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

11. Indemnification

You agree to indemnify, defend, and hold harmless Greenlight Software LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Any dispute between you and a third party (including customers, vendors, or suppliers) related to data or transactions managed through Forge.

12. Termination

12.1 By You

You may terminate your use of Forge at any time by uninstalling the App from your Shopify admin.

12.2 By Us

We may suspend or terminate your access to Forge at any time if:

  • You violate these Terms.
  • Your Shopify store is suspended or terminated.
  • You fail to pay applicable subscription fees.
  • We discontinue the Service (with at least 60 days' notice).

12.3 Effect of Termination

Upon termination, your right to use the App ceases immediately. We will retain your data for up to 30 days following termination to allow for data export, after which it will be deleted unless required by law to be retained. Sections 5.1 (data ownership), 8.3 (feedback), 9 (disclaimers), 10 (limitation of liability), 11 (indemnification), and 13 (governing law) survive termination.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Sheridan County, Wyoming, and you consent to personal jurisdiction in those courts.

14. Modifications to These Terms

We may modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms in the App and updating the "Last Updated" date. For significant changes, we will also provide notice via email at least 30 days before the changes take effect. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

15. Modifications to the Service

We reserve the right to modify, update, or discontinue any feature or aspect of the Service at any time. We will provide reasonable notice before removing significant features. If we discontinue the Service entirely, we will provide at least 60 days' notice and assist with data export.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Greenlight Software LLC regarding your use of Forge.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, pandemic, power outages, or third-party service failures.
